Responsibilities
- SOX Compliance Management
– Monitor and ensure adherence to SOX standards across financial processes and internal controls.
– Conduct regular internal audits to assess the effectiveness of compliance frameworks.
– Develop and implement policies, controls, and training programs related to SOX compliance.
– Collaborate with internal and external auditors, addressing findings and ensuring timely resolution.
– Prepare compliance reports for senior management and recommend improvements to mitigate risks.
- Board Secretary Responsibilities
– Organize and distribute board meeting agendas, materials, and minutes in alignment with governance and regulatory requirements.
– Maintain accurate records of board decisions, policies, and governance documentation.
– Ensure compliance with governance policies and serve as a liaison for board members.
– Support the preparation of corporate filings, statutory disclosures, and annual reports as legally required.
– Provide guidance on governance best practices to improve board efficiency and organizational compliance.
- Cross-functional Collaboration
– Work closely with finance, HR, and operations teams to integrate compliance practices across departments.
– Serve as the primary contact for governance and compliance-related inquiries.
Requirements
- Certifications such as CPA, CIA, or governance certifications (e.g., ICSA) are advantageous.
- Experience in SOX compliance, internal audit, or corporate governance.
- Hands-on experience with board secretary functions or supporting board-level activities.
- Familiarity with international compliance standards and governance frameworks.
- Strong understanding of SOX compliance requirements and governance policies.
- Excellent organizational skills with great attention to detail.
- Professional fluency in English.
- Strong interpersonal and communication skills for effective stakeholder engagement.
- Proficiency in compliance management tools and software.
